OFFICIAL RULES AND REGULATIONS

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE THE CHANCES OF WINNING. ENTRANTS MUST BE EIGHTEEN (18) YEARS OR OLDER AND LEGAL RESIDENTS OF INDIA.

By participating, each entrant and participant (each, an “Entrant” and, collectively, the “Entrants”) agree to abide by and be bound by these official rules (“Official Rules”) and the decisions of Triller, Inc. (the “Sponsor”), which are final and binding in all respects and not subject to appeal.

By entering in this Contest, Entrants will be deemed to have read and will be bound by these Official Rules and acknowledge and agree that Entrants satisfy all Contest eligibility requirements as provided herein below. These Official Rules are in addition to the Sponsor’s Terms of Service, Privacy Policy, and Community Guidelines to which Entrants already agreed by using the mobile application of https://triller.co (hereinafter referred to as “Triller App”).

The Sponsor will collect personal data about Entrants online in accordance with its privacy policy. Please review the Sponsor’s Privacy Policy at https://support.triller.co/hc/en-us/articles/360053977512-Privacy-Policy. By participating in the Contest, each Entrant hereby agrees to the Sponsor’s collection and usage of their personal information and acknowledges that they have read and accepted the Sponsor’s privacy policy.

The sponsor has the right to postpone, amend, or cancel this contest at any time without any proper notice.

  1. CONTEST PERIOD: The “Triller Iconz” is a one-time contest (the “Contest”), which begins at 12:00 A.M. Indian Standard Time (“IST”) on 29th November 2021 and ends at 11:59 P.M. IST on 30th December 2021 (the “Contest Period”).

    Initial Entries (prior to voting and Mentor decision) will be accepted until 19th December 2021 at 11:59 P.M. IST (the “Entry Period”). After this date, no further entries to the contest will be permitted.
  2. ELIGIBILITY:
    1. The Contest is open only to individuals of fifteen (15) years of age or older before the start of the Contest Period and who are legal residents of, and physically located within India (the “Territory”). Individuals below the age of eighteen (18) and above the age of fifteen (15) at any time prior to the expiration of the Entry Period are required to send the signed parental/ guardian consent letter from their registered email ID, on the official email ID provided under these Official Rules.
    2. Each Entrant should have set India as the current country in the settings on Triller App.
    3. Each Entrant should have a billing address in India and should have valid proof of identity and age in the form of a copy of Aadhar Card/ PAN Card / Driving License / Voter ID / Indian Passport. Category winners, qualifiers, finalists, and consolation prize winners (collectively, “Winners”) will be asked to provide the same at the time of claiming the prize.
    4. Each Entrant must have a Triller account on Triller before the Contest Period and remain an active user throughout.
    5. Officers, directors, managers, employees, contractors, and agents of the Sponsor and its parent, subsidiary, affiliate, and related companies (collectively, the “Contest Entities”), as well as immediate family members and/or those living in the same household of each such person, and any others engaged in the development, production, execution, or distribution of this Contest, are not eligible to participate in the Contest. “Immediate family member” shall be deemed to mean husband, wife, children, mother, father, sister, sister-in-law, brother, or brother-in-law of a person.
  3. CONDITIONS TO ENTRY:
    1. Entrants shall create their entries for the Contest by uploading their original content pursuant to one or more of the five (5) categories set forth below::
      1. Comedy Icon
      2. Music Icon
      3. Lifestyle Icon
      4. Youdoyou Icon
      5. Dance Icon
    2. Entrant should use hashtag #TrillerIconz as a primary hashtag and category hashtags as secondary hashtag #TrillerIcon #ComedyIcon #MusicIcon #LifestyleIcon #YoudoyouIcon #DanceIcon.
    3. The Official Rules on how to enter will be shared on the official Instagram channel of Triller, which is @triller and @triller_india.
    4. During the Entry Period, an Entrant must log into his/her respective registered user account (“Triller Account”) on the “Triller App” via a link to such Entrant’s registered user account (“Instagram Account”) within the Instagram mobile application (“Instagram App”) and, within the Triller App, either record in the Triller App or upload from his/her mobile device storage (i.e., camera roll) an “entry video” [at least ten (10) seconds and not to exceeding one hundred and twenty (120) seconds duration] of him/herself performing by selecting the pink plus icon at the bottom of the home screen, then the “Social” option, and then either the pink star camera icon at the bottom of the screen to record in the Triller App or photo icon at the bottom of the screen to upload, and then post the “entry video” to such Entrant’s Public Triller Account profile page by selecting the “Share” icon, including the hashtags #TrillerIconz in the post caption, tagging @triller_india in the post caption, ensuring “Set to Private” is deselected or and selecting “Post & Save” option.
    5. All videos must be in vertical aspect ratio, full screen, 9×16. Videos without any sound are not allowed for the purpose of this contest.
    6. Each Entrant must post the entry video on their Instagram Account as an Instagram Post/ Reel and tag Triller Accounts and use proper hashtags.
    7. Each “entry video” properly created, uploaded, and tagged will count as one (1) entry (an “Initial Entry”). If an Entrant fails to link his/her Triller Account to his/her Instagram Account, fails to post the Initial Entry publicly within the Triller App, fails to post the Initial Entry with the proper hashtags and account tags, or otherwise fails to comply with the other eligibility rules described herein, the Initial Entry will be deemed ineligible and will not count and will be voided.
    8. If an Entrant does not already have the Triller App (or a Triller Account), he/she may download the Triller App for free from Google Play or the App Store and register a new Triller Account at no cost. If an Entrant does not already have the Instagram App (or an Instagram Account) or has not linked his/her Instagram account with his/her Triller Account, he/she may download the Instagram App for free from Google Play or the App Store, register a new Instagram Account as per their terms of services, and then, within the Triller App, select the profile icon at the bottom of the home screen and then select “Edit Profile” to enter his/her “Instagram Username” in the field provided.
    9. Entrant is responsible to abide by the rules and regulations of Instagram and Contest Entities are not responsible if Entrant fails to follow Instagram’s rules and regulations.
    10. To ensure an Initial Entry is publicly viewable, the Entrant must select the profile icon at the bottom of the home screen and then “Edit Profile” to make sure “Private Account” is deselected or unchecked and ensure when posting the Initial Entry that the “Set to Private” option is deselected or toggled off.
    11. Each Initial Entry may only feature the applicable Entrant and not any other person and can be in any language. It must contain a presentation of talent as per categories defined above by the Entrant and must not be less than ten (10) seconds and not exceed one hundred and twenty (120) seconds in duration.
    12. The talent presentation featured in each Initial Entry may only be a cover of a song that is otherwise available through the music library contained in the Triller App at the time of submission of the Initial Entry (“Triller Library”). Any Initial Entry/ies covering a song not available in the Triller Library on or before the expiration of the Entry Period will be deemed disqualified their respective applicable Entries will be void.
    13. Sponsor will not receive or review Initial Entries from “protected” or “private” Triller Accounts or posts. An Entrant is prohibited from setting up multiple Triller Accounts for the purpose of submitting multiple Initial Entries in the Contest.
    14. If the Entrant does not agree to Triller’s Terms of Service and Privacy Policy, such Entrant cannot create a Triller Account and cannot participate in the Contest.
    15. Sponsor will not be responsible for any internet access failure nor will pay any internet charges to the Entrant. An Entrant should check his/her mobile device’s capabilities for specific instructions.
    16. THERE IS A NO LIMIT ON THE NUMBER OF INITIAL ENTRIES PER ENTRANT USING ONLY ONE (1) TRILLER ACCOUNT AND ONE (1) INSTAGRAM ACCOUNT LINKED TO THAT TRILLER ACCOUNT FOR THE DURATION OF THE INITIAL ENTRY PERIOD. EACH ENTRANT CAN SEND ENTRY ONLY IN ANY NUMBER OF CATEGORIES.
    17. Initial Entries received from any person or registered Triller Account/Instagram Account in excess of the stated limitation, outside of the Entry Period, or through the use of agencies, robotic, repetitive, automatic, programmed, or similar methods, will be ineligible and will not count and will be deemed void. Sponsor reserves the right to disqualify any Entrant who fails to abide by these eligibility rules.
    18. For the avoidance of doubt, Instagram is not the sponsor of the contest.

    ADDITIONAL CONDITIONS:

    No entry may contain any content that Sponsor, in its sole discretion, determines to:

    1. Belong to another person and to which the Entrant does not have any right;
    2. Be vulgar, offensive, sexually explicit, profane, or pornographic;
    3. Be defamatory, obscene, pornographic, pedophilic, invasive of another’s privacy, including bodily privacy, insulting or harassing on the basis of gender, libelous, racially or ethnically objectionable, relating or encouraging money laundering or gambling or otherwise inconsistent with or contrary to the laws in force;
    4. Be harmful to a child;
    5. Endorse any form of hate or hate group;
    6. Defame, misrepresent, or contain disparaging remarks about other people, products, or companies;
    7. Be violent or promotes the use of alcohol, illegal drugs, tobacco, weapons, or unsafe activities;
    8. Promote any political agenda or message;
    9. Contain copyrighted materials or other intellectual property owned by others (including, but not limited to, music, lyrics, or images published on or in websites, television, movies, or other media) without permission, other than as owned or properly licensed by the Entrant, and/or as available in the Triller Library (provided such Triller Library content may not be altered in any way).
    10. Entrants cannot feature any music or song from the label Times or Tips (“Prohibited Labels”) due to copyright restrictions.
    11. Contain any personal identification, such as persons’ names, email addresses, street addresses, or license plate numbers, except as already enabled to be displayed publicly through the Triller App’s functionalities (e.g., username);
    12. Communicate messages or images inconsistent with the positive image of any of the Contest Entities’ respective names, trademarks, logos, insignias, or brands;
    13. Violate any Indian laws;
    14. Deceive or mislead the addressee about the origin of the message or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact;
    15. Threaten the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order, or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting another nation;
    16. Impersonate any other person;
    17. Contains a software virus or any other computer code, file, or program designed to interrupt, destroy or limit the functionality of any computer resource;
    18. Is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity, or agency for financial gain or to cause any injury to any person; and
    19. Include or refer to any third parties, including, but not limited to, minor children, celebrities, friends, or other persons, who have not expressly authorized such inclusion or reference.
  4. LIMITATIONS: Entrants who have not complied with these Official Rules are subject to disqualification and their respective applicable Entries will be void. Sponsor reserves the right to reject and/or void any Entry which it determines, in its sole and absolute discretion, does not meet the above criteria or is otherwise offensive or is not in keeping with any of the Contest Entities’ respective images and reputations. The Sponsor reserves the right to disqualify any Entry in the Contest if the Sponsor determines or suspects, in its sole and absolute discretion, that the Entrant who submitted the Entry or Entries in question has attempted to undermine the legitimate operation of the Contest by cheating, hacking, or other fraudulent, deceptive, or unfair acts, omissions, or playing practices. The Sponsor reserves the right to remove any Entry from the Triller App or disqualify any Entry without prior notice to the applicable Entrant.
  5. REPRESENTATIONS AND WARRANTIES:
    • ENTRANT: By entering, each Entrant represents and warrants that (a) he/she has the right to submit each Entry and to grant to Sponsor a license to use each Entry as described below; (b) his/her Entry consists only of original work (excluding the use of any/all music and/or lyrics that may be incorporated in each Entry which are owned or properly licensed by the Entrant and/or available in the Triller Library [provided such Triller Library content available within the Triller App may not be altered] and each Entry has not previously been published anywhere else or entered into any other contest; (c) he/she has not granted any person or any corporation, company, governmental authority, limited liability company, partnership, trust, estate, association, or any other individual entity or organization in his, her, or its own or any representative capacity any rights to use each Entry; (d) each Entry shall meets the eligibility criteria set forth above in Section 2; (e) each Entry does not defame or violate the rights of publicity or privacy of any person, living or deceased, or otherwise infringe upon the publicity rights or privacy of any third person, living or deceased, or otherwise infringe upon any person’s personal or property rights or other third-party rights; and (f) each Entry is not offensive or inappropriate, as determined by Sponsor in its sole discretion, nor does it violate any applicable law. By submitting an Entry, each Entrant represents and warrants that he/she consents to the submission and use of each Entry in the Contest and to its use as otherwise set forth herein.
    • SPONSOR: Sponsor do not warrant or guarantee that access to the Contest will be uninterrupted. None of the Sponsor or any of their respective present or future officers, directors, managers, employees, contractors, affiliates, content partners, vendors, licensors, distributors, advertisers, other contracting parties, agents, representatives, successors, or assigns (individually and collectively, “Allies”), are responsible for: (a) Entries from persons residing or physically located outside the Territory; (b) Entries that are altered, delayed, deleted, destroyed, forged, fraudulent, improperly accessed, inaccurate, incomplete, interrupted, irregular in any way, late, lost, misrouted, multiple, non-delivered, stolen, tampered with, unauthorized, unintelligible, or otherwise not compliant with these Official Rules; (c) lost, interrupted, or unavailable networks, servers, satellites, or websites, or other connection, availability, or accessibility problems arising in connection with or over the course of the Contest; (d) failure of personal computers and/or software and hardware configurations, any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical, or other errors in connection with the administration of the Contest, the processing of Entries, or the offering or announcement of the Prize (as defined below) or in any Prize notification; (e) any other errors of any kind relating to or in connection with the Contest, whether human, mechanical, clerical, electronic, or technical in nature or otherwise; (f) the incorrect or inaccurate capture of information, or the failure to capture any information in connection with the Contest; (g) any changes to any website function that may interfere with the Contest or an Entrant’s ability to timely enter the Contest; or (h) damage to an Entrant or any other person or entity’s system occasioned by or arising from participation in this Contest or downloading any information necessary to participate in this Contest; even if caused by the negligence of any of the Allies.
  6. QUALIFYING STAGE: The Contest will consist of three (3) distinct stages (the “Stage(s)”):
    1. Stage 1: Entry Stage [Entrants to post their entry video]Each Entrant will submit their entry during the Entry Period. During the Entry Period, an Entrant must log into his/her respective registered user account (“Triller Account”), and either record in the Triller App or upload from his/her mobile device storage (i.e., camera roll) an “entry video” [at least ten (10) seconds and not exceeding one hundred and twenty (120) seconds in duration]. Initial Entries received during the Entry Period will be screened for the next stage.

      If the Entrant is not selected in the first week, he can still send his “entry videos” in subsequent two weeks.

    2. Stage 2: Qualifying Stage [Sponsor will select forty-five (45) qualifiers]Sponsor will screen all the Entries received during the Entry Period. The Sponsor will score the Entries out of 10 as follows:
      1. Creativity: 4 marks
      2. Video Quality: 3 marks
      3. Social Amplification: 2 marks
      4. Engagement: 1 mark

      The Sponsor will finalize three (3) qualifiers in each category every week [categories mentioned in Clause 3(a)]. A total of fifteen (15) qualifiers every week during the entry period. By the end of the third week, there will be nine (9) qualifiers in each category making it a total of forty-five (45) qualifiers for the next round.

      The Sponsor will hand over the list of selected forty-five (45) qualifiers to the Mentors for the next stage.

      Qualifiers will be contacted individually via email or Triller DMs on the same day of their selection and if they do not respond within 72 hours, the opportunity will be passed to another deserving Qualifier.

    3. Stage 3: Final Stage [The mentors will select fifteen (15) finalists from forty-five (45) qualifiers]Out of the forty-five (45) qualifiers, mentors will finalize fifteen (15) top creators as finalists. There will be three (03) finalists in each category as mentioned in Clause 3(a) making it a total of fifteen (15) finalists.

      The Mentor will score the finalists out of 10 based on content, creativity, and talent and the score of Mentors will decide fifteen (15) finalists.

      Finalists will be contacted individually via email or Triller DMs on the same day of their selection and if they do not respond within 72 hours, the opportunity will be passed to another deserving Finalist.

      Entries received from the top fifteen (15) finalists will be put to vote via an online and unbiased voting system which will help to select the winners from each category.

  7. JUDGING: 
    Entries received from top fifteen (15) finalists will be put to vote via an anonymous and unbiased voting system, and top 5 category winners will be selected purely based on the votes they will receive during the Voting Period.

    Each finalist will be allocated a unique code and the voting will be conducted by an unbiased technical system, a microsite specially tailored for the purpose of conducting voting for the Contest. This microsite will keep track of votes and the person receiving the highest number of votes will be the winner. There will be one winner in each category. The voting will be open to the public and anyone can vote for their favorite finalist in each category. A voter can only vote one time in each category. The same will be announced at Triller App and its Instagram Account.

  8. VOTING PERIOD: 
    Voting for the finalists will begin from 12:00 A.M. IST on 22nd December 2021 and ends at 11:59 P.M. IST 28th December 2021, (the “Voting Period”).

    After confirmation of the top 5 category winners (to be selected among the finalists), they will be contacted individually via email or Triller DMs. The names of these winners will be announced on the Instagram Page of Triller India (@triller_india).

  9. PRIZES:
    1. Winners will receive the following prizes as specified below:
      S. NoParticulars
       Prizes for the qualifiers selected by the Sponsor at Qualifying Stage:
      i.45 qualifiers will receive Merchandise Boxes (including PIVO pods or equivalent).
      ii.45 qualifiers will secure their seats for an online course provided by NAS Academy. The codes for the online course will be provided immediately upon qualifications and they should be redeemed within 2 months from the issuance.
       Prizes for the finalists selected by the Mentor at Final Stage:
      iii.15 finalists will secure a virtual “Meet and Greet” opportunity with Triller Global Influencers.
       Prizes for the category winners selected by voting:
      iv.5 winners will win special prizes (PIVO pods or equivalent).
      v.

      5 winners (one from each category) will win a Cruise Liner Trip for (two) 2 or equivalent.

      Please note that for each category winner winning the Cruise Liner Trip for two, the date for Cruise Liner Trip will be 10th January 2022. No change of dates or re-arrangement will be accepted.

      Further, the category winners of Cruise Liner Trip agree to fulfill the deliverables as communicated by the Sponsor at the time of announcement. If the category winners fail to oblige by the same, the opportunity will be passed to the next deserving winner.

       Consolation prizes for participants:
      vi.

      100 participants will win a consolation prize of Amazon Voucher of value INR 1000 each or equivalent.

      The winners for consolation prizes will be selected anonymously and randomly via an unbiased portal.

    2. Amazon Voucher will be given by way of unique promo code to the Entrant after their ID confirmation.
    3. No requests for transfer, assignment, cash redemption, or substitution of Prizes shall be entertained.
    4. Sponsor reserves the right to substitute any Prize (or portion thereof) for an item of comparable value, at its sole discretion.
    5. Each Winner shall provide correct and complete information within 72 hours of the announcement to the Sponsor via email or Triller DMs. If they fail to do so, the prize shall be transferred to the next eligible Winner. Triller will not be responsible for the Winner’s failure to provide correct and complete information. This includes information including but not limited to Entrant’s name, address, telephone number or mobile number and email address in order to register and participate in the Contest.
    6. Providing information to us is your choice. The Entrant by providing the aforesaid sensitive personal information hereby agrees that Sponsor shall have the right to share the information so collected with such other third party as Sponsor is required for the purpose of the Contest and hereby agree that they shall not file any claim against Sponsor for sharing for such personal information. By participating in the contest, Entrant agrees to allow us authorized use of their information and agree to be bound by the “Privacy Policy” available on this Website.
    7. All Prizes will be awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).
    8. The cost accompanied/arising from the Prize and/or expenses of any nature, shall be borne solely by the Entrants and no monies will be reimbursed nor can be claimed to Sponsor.
    9. The prizes will be delivered to the eligible Winners within 60 days from the date of announcement subject to the Winners providing correct and complete information.
    10. The limit is one prize per Winner.
  10. TAXES: Each prize Winner will be responsible for paying all costs and expenses related to the applicable Prize(s) that are not specifically mentioned, including, but not limited to, taxes, levies, or any similar amounts, and any other expenses that might reasonably be incurred by the Winner in receiving or using the Prize where the prize amount shall be considered as inclusive of all applicable taxes. Each Winner may be required to submit to Sponsor such tax filing information required including its Permanent Account Number by Sponsor to claim the prize. All Prizes awarded will be inclusive of any taxes Sponsor is required by law to withhold as well as applicable sales, use, gross receipts, goods, and service, or similar transaction-based taxes, as determined by Sponsor in its sole discretion at the time such Prizes are awarded. Payment made to the Winner will be subject to withholding of appropriate taxes, levies, or any similar amounts. All other taxes, costs, and expenses associated with acceptance and use of any Prize not specified in these Official Rules as being provided are the sole responsibility of the Winners and the amount paid to the Winner under this contest will be inclusive of applicable national, state, or local sales or use taxes or value-added tax or service tax or GST that the Winner is legally obligated to pay under applicable laws. IF TAXES, LEVIES, OR ANY SIMILAR AMOUNTS ARE APPLICABLE TO THE PRIZES, AND NO SUCH TAXES, LEVIES, OR SIMILAR AMOUNTS ARE WITHHELD, IT IS THE RESPONSIBILITY OF THE WINNER TO PAY TO THE APPROPRIATE AUTHORITIES. PAYMENTS TO CONTEST WINNERS ARE SUBJECT TO THE EXPRESS REQUIREMENT THAT THE WINNER SUBMIT TO THE SPONSOR ALL DOCUMENTATION REQUESTED BY THE SPONSOR TO PERMIT COMPLIANCE WITH ALL APPLICABLE STATE, FEDERAL, LOCAL, AND FOREIGN (INCLUDING PROVINCIAL) TAX REPORTING AND WITHHOLDING REQUIREMENTS. Winners are responsible for ensuring that the tax documentation submitted to the Sponsor complies with all applicable tax laws and requirements. If a Winner fails to provide the documentation or submits incomplete documentation, the Prize may be forfeited and Sponsor may, in its sole discretion, select an alternate Winner.
  11. GRANTS: By submitting Entry, Entrant consents to the use of their name, likeness, and biographical information for promotional purposes in any and all media now known or hereafter discovered (including, without limitation, online or in print, film, or television) throughout the world and on the Internet, in perpetuity, without additional compensation or consideration, notification, or permission, unless prohibited by applicable law.
  12. TO CLAIM PRIZE:
    1. Each Winner is subject to verification and full compliance with these Official Rules before the Prize will be awarded.
    2. The Winner will be notified via email or Triller DMs to confirm their mailing address and any additional information or responses required by the Sponsor.
    3. Each Winner will be required to provide a signed Undertaking, or other such documents/ forms as requested by Sponsor.
    4. Prior to awarding a Prize, Sponsor may, in its sole discretion, require the potential Winners to sign such documents Sponsor decides are necessary to confirm eligibility, to obtain a liability release, and to award any Prize.
    5. Failure to return any required document by the date requested by Sponsor will deem the Winner as ineligible to receive the Prize.
    6. If any documentation is not returned by the specified dates or if a potential Winner is deemed ineligible prior to the Prize being awarded, Sponsor may in its sole discretion, award the Prize to the next entrant eligible for Prize.
  13. INDEMNIFICATION: EACH ENTRANT AGREES TO RELEASE, DISCHARGE, HOLD HARMLESS, AND INDEMNIFY EACH OF THE RELEASEES FROM AND AGAINST ANY CLAIMS, DAMAGES, DISABILITY, ATTORNEYS’ FEES, AND COSTS OF LITIGATION AND SETTLEMENT, AS WELL AS ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE USE, ACCEPTANCE, POSSESSION, MISUSE, OR AWARD OF THE PRIZE, WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELING (IF ANY) TO OR FROM ANY PRIZE-RELATED OR CONTEST-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON, OR PROPERTY. THE WINNER AGREES (AS BETWEEN THE SPONSOR OR CONTEST ENTITIES AND SUCH WINNER) THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT, OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. EACH ENTRANT AGREES THAT (I) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT OF POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH PARTICIPATING IN THIS CONTEST, BUT IN NO EVENT ATTORNEYS’ FEES; AND (II) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND EACH ENTRANT HEREBY WAIVES ANY AND ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES, AND ANY OTHER DAMAGES OTHER THAN FOR ACTUAL OUT OF POCKET EXPENSES AND WAIVES ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.
  14. GOVERNING LAW; VENUE: All issues and disputes concerning the construction, validity, interpretation, and enforceability of these Official Rules or the rights and obligations of the Sponsor or any Entrant, Contest Entity, or Allies in connection with this Contest or these Official Rules shall be governed by and construed in accordance with the internal laws of India without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. By participating, each Entrant agrees that any and all disputes, claims, and causes of action arising out of, or connected with, this Contest or the Prize awarded (if applicable) shall be resolved individually, without resort to any form of class action, and exclusively in the state courts located in the County of Los Angeles in the State of California, and the Entrant waives all jurisdictional, venue, or inconvenient forum objections to such court.
  15. GENERAL: All applicable federal, state, and local laws apply to the Contest. Winners, by accepting of the Prize, grants to the Sponsor, the other Contest Entities, and each of their respective designees the absolute right and license to use, publish, post, and/or display the Winner’s name, address (city and state of residence), photograph, voice, likeness, and/or other indicia of persona (regardless of whether altered, changed, modified, edited, used alone, or used with other material in the Contest Entities’ sole discretion) in any and all media now known or hereafter devised (including, without limitation, online or in print, film, or television), throughout the world and on the Internet, in perpetuity, without additional compensation or consideration, notification, or permission, unless prohibited by applicable law. Any of the Contest Entities’ failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. These Official Rules shall govern and prevail in the event of any conflict with any terms or conditions applicable to the Contest contained in these Official Rules and those contained in Contest-related materials. In the event that any provision is determined by a court of competent jurisdiction to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Contest Entities’ employees are not authorized to waive, modify, or amend any provision or provisions of these Official Rules in any manner whatsoever. ANY ATTEMPT BY AN ENTRANT OR OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE CONTEST WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF LAW. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION, TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
  16. GENERAL RELEASE: By entering the Contest, each Entrant release the Sponsor and its affiliates from any liability whatsoever for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest or with the acceptance, possession, or use of any Prize, except as prohibited by law.
  17. FORCE MAJEURE: This Contest is subject to force majeure circumstances including without limitation, floods, natural disasters, war, and acts of terror, political unrests, technical snags, acts of God, or any circumstance beyond the reasonable control of Sponsor (“Force Majeure Event”). Sponsor shall be not liable for any delay or adverse effect caused to Entrant as a result of a Force Majeure Event. For clarity, the Parties agreed that COVID-19 shall not be deemed a Force Majeure having commenced prior to the Contest Period and continued disruption as a result thereof being reasonably foreseeable at such time.
